MAPP Agreement

Applicant shall abide by ProClip USA's "Minimum Advertised Price Policy" (MAPP). The Minimum Advertised Price Policy is that the Applicant agrees not to advertise, through any medium of mass communication, that a Product will be sold at a price less than the ProClip USA suggested retail price which is posted on the ProClip USA website www.proclipusa.com.

Applicant is in no way prohibited from selling Products at prices that are higher than the ProClip USA suggested retail prices. Only the entity identified on this MAPP Agreement is authorized to sell ProClip products, and only under the identity listed on this MAPP Agreement. DBA entities must all be listed separately and individually authorized. The authorized Applicant may only sell to end users; Applicant is not authorized to offer ProClip products for sale to other resellers or auction sites, or to export ProClip products outside of the USA. In the event Applicant fails to comply with this MAP Agreement, it is

ProClip USA's policy to suspend product sales to the Applicant, and to notify authorized distributors of this suspension. Applicant shall sell ProClip products only at the Applicant's business address of record and at no other locations without ProClip USA's written approval. Applicant shall not, without ProClip USA's prior written approval, (i) sell ProClip products outside of the United States and Canada, ii) sell ProClip products via the internet in any manner, including, without limitation, Search Engine Optimization and Search Engine Marketing, (iii) run any print, radio, television or internet ads of any kind or type, (iv) list or sell ProClip products using any website whether business or personal, or (v) list ProClip products on any discount websites or partner with any ecommerce websites. ProClip reserves the right to withhold its approval at its sole discretion.
